Acceptance

By using adecnova.com or hiring services from Adec Nova LLC you accept these terms. If you contract on behalf of a company, you represent that you have authority to bind it.

Our services

Adec Nova offers: (a) subscription agency services — accounting, marketing, and technology ("3 Pillars"); (b) subscription software for specific verticals (GlowApp, BarberApp, SpaApp, and others); (c) the Launch Package for new businesses; and (d) NovaTax for tax service firms.

The concrete scope of each contracted service is defined in the proposal or plan agreed in writing with each client, which complements these terms.

Payments and billing

Recurring services are billed in advance per the agreed plan (monthly unless agreed otherwise). Setup fees are billed at project start. Prices published on the site are for reference; the final price is the one in your proposal.

Non-payment may result in service suspension with prior notice. Refunds are governed by what is agreed in each proposal.

Your content and your brand

Everything you hand us (brand, logos, content, business data) remains yours. You grant us permission to use it solely to deliver the service.

In software services, your instance and your customer data are yours: if you leave, we provide a reasonable export of your data.

Our intellectual property

Adec Nova's software, code, designs, and methodologies (including GlowApp, NovaTax, and other products) are property of Adec Nova LLC. A subscription grants you a license to use the software, not ownership of it.

Acceptable use

You may not use our services for illegal activities, to send spam, or to infringe third-party rights. We may suspend accounts that violate this rule.

Professional scope

Bookkeeping, payroll, and tax services are delivered per the scope defined in your proposal. Adec Nova is not a law firm; nothing on this site constitutes legal advice. For matters requiring specific licensed professionals, we work with the corresponding professionals or tell you so explicitly.

Availability and liability

We work to keep the software available and services on time, but the service is provided "as is" and we do not guarantee uninterrupted availability. To the maximum extent permitted by law, Adec Nova's total liability is limited to the amounts paid for the service in the 3 months prior to the claim.

SMS and WhatsApp messaging program

With your express consent (checkbox on the contact form), Adec Nova LLC may send you SMS and WhatsApp messages related to your inquiry and any services you hire: replies to your request, appointment reminders, service notices, and follow-ups. Message frequency varies based on your interaction.

Message and data rates may apply per your mobile carrier plan. Carriers are not liable for delayed or undelivered messages.

To opt out of the program, reply STOP to any message and you will receive no further messages from us. For assistance, reply HELP or write to contact@adecnova.com. Consent to receive messages is not a condition of purchasing any service.

Termination

You may cancel recurring services per your plan's terms. We may terminate service with reasonable notice upon breach of these terms.

Governing law

These terms are governed by the laws of the State of Virginia, USA. Any dispute will be resolved in the competent courts of Virginia.
